What the formation file for a two-member LLC contains

Under Điều 24 Nghị định 168/2025/NĐ-CP (article 24 of Decree 168/2025), the file for registering a công ty TNHH hai thành viên trở lên (a limited liability company with two or more members) contains:

1. The Giấy đề nghị đăng ký doanh nghiệp (the enterprise registration application), on Mẫu số 3 - Phụ lục I (form 3 of annex I) issued with Thông tư 121/2026/TT-BTC (Circular 121/2026).

2. The Điều lệ công ty (the company charter) for a limited liability company with two or more members.

3. The Danh sách thành viên (the list of members), on Mẫu số 6 - Phụ lục I issued with Thông tư số 68/2025/TT-BTC.

4. A copy of the personal legal document of the enterprise's người đại diện theo pháp luật (legal representative).

5. A copy of the personal legal document of each member who is an individual; or the corporate legal documents of a member that is an organisation, together with the legal document of its authorised representative and the instrument appointing that representative. If a member is a foreign organisation, the copy of its legal documents must be consularly legalised. Where an individual's personal identification number is declared, the file does not include a copy of that individual's legal document (items 4 and 5; clause 3 of article 24 of Decree 168/2025).

6. The Giấy chứng nhận đăng ký đầu tư (the investment registration certificate, IRC), where the company is being formed by, or has as a member, a foreign investor or a foreign-invested economic organisation under the Law on Investment. Since 1 March 2026 a foreign investor may also form the company before applying for the Giấy chứng nhận đăng ký đầu tư (IRC): the file then carries no IRC but a commitment to meet the market access conditions, and the company must obtain the IRC within 12 months (Điều 19 Luật Đầu tư 143/2025/QH15, article 19 of the Law on Investment; Điều 72 Nghị định 96/2026/NĐ-CP, article 72 of Decree 96/2026).

Where to file, and who handles it now that Bình Định has merged into Gia Lai

The enterprise files one set online through the national business registration portal at https://dangkyquamang.dkkd.gov.vn

After Bình Định and Gia Lai were merged into Gia Lai province, with its administrative centre in Quy Nhơn, under Nghị quyết 202/2025/QH15 (Resolution 202/2025), the authority that receives and reviews the file is no longer Sở Kế hoạch và Đầu tư (the former Department of Planning and Investment). Files are now handled by Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666.

An enterprise with its head office in any commune or ward of Gia Lai province, which after the merger has 110 xã and 25 phường under Nghị quyết 1664/NQ-UBTVQH15, files with the same single provincial point of contact. There is no longer any step at district level.

Timing and the cost of the all-inclusive service

The Giấy chứng nhận đăng ký doanh nghiệp (the enterprise registration certificate) is issued three working days from a valid file.

All you need to provide is a notarised copy of a CCCD (the Vietnamese citizen identity card) or passport. Once issued, the enterprise registration certificate is delivered to you.

What to do once you have the licence

A newly formed enterprise needs to have its seal made, register a chữ ký số (digital signature token), issue hóa đơn điện tử (e-invoices), open a bank account and register its initial tax obligations. Tư Vấn Sao Việt advises on all of this free of charge once the licence is handed over, and offers an all-inclusive accounting service at 500.000 đồng a month for the operating phase that follows.

The process

1. Prepare and sign the file Provide notarised copies of the CCCD or passport of the representative and of the members; Sao Việt drafts the registration application, the charter and the list of members and brings them to you to sign, at your premises if needed.
2. File online File at dangkyquamang.dkkd.gov.vn; the file is routed to Sở Tài chính tỉnh Gia Lai, Phòng Doanh nghiệp và Kinh tế tập thể, for review.
3. Collect and deliver the licence We collect the enterprise registration certificate on your behalf and deliver it to you, with guidance on the steps that follow registration.
