The documents to prepare

The file for forming a công ty TNHH hai thành viên trở lên (a limited liability company with two or more members), as it applies from 1 July 2025, consists of:

- The Giấy đề nghị đăng ký doanh nghiệp (the enterprise registration application) for a limited liability company with two or more members (Mẫu số 3, form 3). - The Điều lệ công ty (the company charter) for a limited liability company with two or more members. - The Danh sách thành viên (the list of members) for a limited liability company with two or more members (Mẫu số 6, form 6). - The list of chủ sở hữu hưởng lợi (the beneficial owners) of the enterprise, on Mẫu số 10 (form 10) issued with Thông tư 121/2026/TT-BTC. - Copies of the personal legal documents (CCCD, the Vietnamese citizen identity card, or passport) of the members, the legal representative or the authorised representative; and a copy of the investment registration certificate where there is one. - A power of attorney, if a member authorises another individual or firm to carry out the procedure.

Under clause 1 of article 11 of Nghị định 168 (Decree 168), where an individual who is the owner, a member, the legal representative or an authorised representative has declared their personal identification number in the file, the enterprise registration file need not include copies of that individual's legal documents.

Where to file in Gia Lai

After the administrative reform, enterprise registration files in Gia Lai no longer go to Sở Kế hoạch và Đầu tư (the former Department of Planning and Investment). The receiving authority is now Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666.

The process

1. Prepare the file Draft the enterprise registration application on form 3, the company charter, the list of members on form 6 and the list of beneficial owners on Mẫu số 10, issued with Thông tư 121/2026/TT-BTC, with the copies of legal documents required (none for individuals whose personal identification number is declared).
2. File it File with the Phòng Doanh nghiệp và Kinh tế tập thể at Sở Tài chính tỉnh Gia Lai, 181-183 Lê Hồng Phong, Phường Quy Nhơn.
3. Receive the business registration certificate The authority issues the enterprise registration certificate with the tax code if the file is in order.
4. Seal and signboard Have the corporate seal made and the company signboard produced once the licence is issued.
