What documents the formation file contains

The file for registering a công ty TNHH một thành viên (a single-member limited liability company) is set out in Điều 24 Nghị định 168/2025/NĐ-CP (article 24 of Decree 168/2025). It falls into two groups: documents the enterprise drafts and signs, and legal documents to have ready.

The documents to draft and sign are: the Giấy đề nghị đăng ký doanh nghiệp (the enterprise registration application), on Mẫu số 2 - Phụ lục I (form 2 of annex I) issued with Thông tư 121/2026/TT-BTC (Circular 121/2026); the Điều lệ công ty (the company charter); and the list of chủ sở hữu hưởng lợi (the beneficial owners) of the enterprise, on Mẫu số 10 (form 10) issued with Thông tư 121/2026/TT-BTC.

The documents to have ready are (no copy of an individual's legal document is needed once that individual's personal identification number is declared, clause 3 of article 24 of Decree 168/2025): a copy of the personal legal document of the người đại diện theo pháp luật (the legal representative), a CCCD for a Vietnamese citizen or a passport for a foreign national; a copy of the personal legal document of the company owner where the owner is an individual; a copy of the corporate legal documents where the owner is an organisation (if the owner is a foreign organisation the copy must be consularly legalised, unless the owner is the State); a copy of the personal legal document of the authorised representative together with the instrument appointing them; and a copy of the Giấy chứng nhận đăng ký đầu tư (the investment registration certificate) where the company is formed by a foreign investor or a foreign-invested economic organisation. Since 1 March 2026 a foreign investor may also form the company before applying for the Giấy chứng nhận đăng ký đầu tư (IRC): the file then carries no IRC but a commitment to meet the market access conditions, and the company must obtain the IRC within 12 months (Điều 19 Luật Đầu tư 143/2025/QH15, article 19 of the Law on Investment; Điều 72 Nghị định 96/2026/NĐ-CP, article 72 of Decree 96/2026).

Where to file and who reviews it

The enterprise files one set online at dangkyquamang.dkkd.gov.vn. This is how filing works nationwide and does not depend on where in the province you are.

After the administrative reform, the authority that reviews files and issues enterprise registration certificates in Gia Lai province is Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666. The former Sở Kế hoạch và Đầu tư (the Department of Planning and Investment) is no longer the point of contact; the function has been merged into Sở Tài chính.

The same across Gia Lai province, whatever the former area

Since 1 July 2025, under Nghị quyết 202/2025/QH15 (Resolution 202/2025), the former Bình Định and Gia Lai provinces have been merged into a single Gia Lai province, with its administrative centre in Quy Nhơn. Nghị quyết 1664/NQ-UBTVQH15 of 16 June 2025 reorganised the commune-level units at the same time, leaving 135 (110 xã and 25 phường), with effect from the same date. The district level is no longer an intermediate tier.

Because the file is submitted online through one common portal and reviewed by a single provincial authority, the procedure for forming a single-member limited liability company is the same for an enterprise with its head office in any ward or commune in Gia Lai province, including the areas formerly known as An Nhơn, Hoài Nhơn, Phù Cát, Quy Nhơn, Tây Sơn and Vân Canh.

The all-inclusive service and its cost
