Where do you file a company formation in Gia Lai?

Since 1 July 2025, company formation files anywhere in Gia Lai province, after the merger with the former Bình Định, are filed with Sở Tài chính tỉnh Gia Lai (the Gia Lai provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn. Telephone: 0256.3903666.

The former Sở Kế hoạch và Đầu tư (the Department of Planning and Investment) no longer receives files, having been merged into Sở Tài chính. Bear this in mind when looking up older information online, since a great deal of it still names the old authority.

Processing takes three working days from the date a valid file is submitted.

Naming the company correctly

The company name must not duplicate, or be confusingly similar to, the name of an enterprise already registered anywhere in the country. The full name consists of the company form and the proper name, for example CÔNG TY TNHH TƯ VẤN SAO VIỆT, where TNHH is the form and TƯ VẤN SAO VIỆT is the proper name.

The foreign-language name is a translation of the Vietnamese name into the Latin alphabet; the proper name may be kept as it is or translated. The abbreviated name is taken from the Vietnamese or the foreign name, for example CÔNG TY SAO VIỆT.

Does charter capital still affect the annual licence fee?

Since 1 January 2026 enterprises no longer pay the thuế môn bài (the annual business licence fee): it has been abolished. For lines of business with no statutory capital requirement, the enterprise does not have to prove its capital and may choose the level of vốn điều lệ (charter capital) to register. Charter capital no longer determines any annual fee: the 2 and 3 million đồng a year rates by charter capital stopped applying on 1 January 2026 (clause 7 of article 10 of Nghị quyết 198/2025/QH15).

How to set the head office address

The head office address must be within Vietnamese territory and clearly identified by house number, street or hamlet, commune or ward, and province, with a telephone number and email where available. Because of the 2025 administrative reform the district tier no longer exists as an intermediate level; an address now has two levels only, commune or ward, and province.

An apartment designated for residential use cannot serve as a business head office address, unless the developer has obtained a separate commercial designation for defined areas such as the ground floor or particular floors.

What the company formation file contains

One set is filed with Sở Tài chính tỉnh Gia Lai, containing: the business registration application; the Điều lệ công ty (the company charter); the Danh sách thành viên (the list of members), for a limited liability company with two or more members; and the personal legal documents (Căn cước card, CCCD citizen identity card or passport) of the legal representative and of each contributing member; no copy is needed where the personal identification number is declared under clause 1 of article 11 of Decree 168/2025.

Once the file is in order, the authority issues the enterprise registration certificate within three working days.

What to do once you have the licence

Have the round seal made: the enterprise arranges this with an engraver and no longer has to publish the seal specimen on the national portal. The seal is managed by the enterprise on its own responsibility.

Buy a chữ ký số (a digital signature token), for monthly, quarterly and annual tax filing.

Choose a hóa đơn điện tử (e-invoice) provider and register with the tax authority to use e-invoices before issuing any.

Make the initial tax declaration with the tax office that manages you directly.

Put up the company signboard at the head office address.

Obtain any giấy phép con (sector sub-licence), practising certificate or statutory capital that your line of business requires.

Open a company bank account for transactions and for paying tax electronically.

5. Complete the post-formation steps Make the initial tax declaration, put up the company signboard, open a bank account, and obtain any sub-licence your line of business requires.
