Where do you file a company formation in Gia Lai?

Since 1 July 2025 the former Bình Định and Gia Lai provinces have been merged into Gia Lai province under Nghị quyết 202/2025/QH15 (Resolution 202/2025), with the administrative centre in Quy Nhơn. The district-level administrative unit is no longer an intermediate tier; the province now has 110 xã (communes) and 25 phường (wards) under Nghị quyết 1664/NQ-UBTVQH15.

Company formation files therefore no longer go to Sở Kế hoạch và Đầu tư (the former Department of Planning and Investment). The authority that now receives files and issues the Giấy chứng nhận đăng ký doanh nghiệp (the enterprise registration certificate) is Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666.

If your company once had its head office in a district of the former Bình Định or Gia Lai, the administrative unit is now written as the new commune or ward, and the district level is no longer written.

Step 1: settle the details before filing

The company name has three parts: the Vietnamese name, the foreign-language name if any, and the abbreviation. The Vietnamese name must contain the company form and the proper name, for example CÔNG TY TNHH TƯ VẤN SAO VIỆT, where TNHH is the form and TƯ VẤN SAO VIỆT is the proper name. The name must not duplicate or be confusingly similar to an enterprise registered anywhere in the country.

Since 1 January 2026 enterprises no longer pay the thuế môn bài (the annual business licence fee): it has been abolished. Charter capital: for lines of business with no statutory capital requirement, the enterprise decides the amount itself and does not have to prove it at registration. The level of charter capital no longer affects the lệ phí môn bài (business licence fee), since that fee ended on 1 January 2026.

Head office address: it must be a definite address with house number, street or hamlet, commune or ward, and province, optionally with telephone, fax and email. An apartment designated for residential use cannot be a business head office, unless the developer has obtained a clear commercial designation for defined areas such as the ground floor or a commercial floor.

Step 2: the documents to prepare

The file submitted to Sở Tài chính tỉnh Gia Lai contains: the enterprise registration application; the Điều lệ công ty (the company charter); the list of members, for a limited liability company with two or more members, or the list of founding shareholders, for a joint stock company; and the personal legal documents (Căn cước card, CCCD citizen identity card or passport) of the legal representative and of the members or shareholders; no copy is needed where the personal identification number is declared under clause 1 of article 11 of Decree 168/2025.

One set is filed. If the file is in order, processing takes three working days from the date of receipt.

Step 3: the seal, and what to do once you have the licence

After receiving the enterprise registration certificate, the enterprise arranges the round seal with an engraver itself. There is no longer any requirement to publish the seal specimen on the national portal; the enterprise manages and uses its seal on its own responsibility.

What must be done straight away, so that the tax authority does not find you at fault:

1. Buy a chữ ký số (a digital signature token) for monthly, quarterly and annual tax filing.

2. Register with the tax authority to use hóa đơn điện tử (e-invoices).

3. Make the initial tax declaration.

4. Put up the company signboard at the head office; failing to do so attracts a penalty.

5. Open the company's bank account.

6. Obtain any sector sub-licence, practising certificate or capital confirmation your line of business requires.

The process

1. Settle the details and the file Settle the company name, the charter capital, the head office address and the business lines; have the personal identification numbers of the representative and the contributing members ready, or copies of their identity card or passport if they have none.
2. File with Sở Tài chính tỉnh Gia Lai File one set with the Phòng Doanh nghiệp và Kinh tế tập thể, 181-183 Lê Hồng Phong, Phường Quy Nhơn.
3. Receive the enterprise registration certificate If the file is in order, the authority issues the enterprise registration certificate.
4. Seal and initial formalities Have the round seal made, buy a digital signature, register e-invoices, make the initial tax declaration, put up the signboard and open a bank account.
