What a licence amendment is, and when you need one

Amending a business licence means re-registering with the authorities when the company changes its contributing members, its charter capital, its business lines, its head office address, its legal representative, or any other particular shown on the Giấy chứng nhận đăng ký doanh nghiệp (the enterprise registration certificate).

It applies to a single-member limited liability company, a limited liability company with two or more members, a joint stock company, and a household business converting its form. Each time something changes, the enterprise must file an update within the statutory deadline, to avoid a penalty for registering late.

Which authority receives the file in Gia Lai

Since 1 July 2025, files amending an enterprise registration in Gia Lai go to Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666.

The former Sở Kế hoạch và Đầu tư (the Department of Planning and Investment) has been merged into Sở Tài chính and is no longer the point of contact for enterprise registration files. Note the new filing address, so that nothing is sent to the wrong place or lost in time.

The documents to prepare

Where a contributing member of a limited liability company with two or more members changes, the file contains:

a) The application to register a change to the enterprise's registered particulars.

b) The list of company members, signed by the incoming member and by any member whose contribution has changed. Members whose contribution is unchanged need not sign.

c) A copy or the original of the members' council resolution or decision on the change of member.

d) Evidence of the capital contribution by the incoming member.

e) The list of beneficial owners, where there are any.

Other changes, such as the head office address, business lines, charter capital or legal representative, have their own prescribed forms. Settle exactly what is changing before drafting, so that nothing is missing.

Cost and processing time

The service fee for amending a business licence at Tư Vấn Sao Việt is 500.000 đồng per amended item. If the enterprise changes several items at once, the cost follows the number of items carried out.

Processing takes three working days from the date a valid file is submitted to the competent authority.
