Where do you file a company formation in Gia Lai?

Since 1 July 2025 the former Bình Định and Gia Lai provinces have been merged into a single province named Gia Lai, with its administrative centre in Quy Nhơn, under Nghị quyết 202/2025/QH15 (Resolution 202/2025 of the National Assembly).

The authority that now receives files and issues the Giấy chứng nhận đăng ký doanh nghiệp (the enterprise registration certificate) is the Phòng Doanh nghiệp và Kinh tế tập thể (the Enterprise and Collective Economy Division) at Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), at 181-183 Lê Hồng Phong, Phường Quy Nhơn. The former Sở Kế hoạch và Đầu tư (the Department of Planning and Investment) is no longer the point of contact for enterprise registration files, because that function was transferred and merged into Sở Tài chính when the administrative machinery was reorganised. An enterprise anywhere in the province, from Quy Nhơn, Pleiku, An Nhơn, Hoài Nhơn, An Khê, Tây Sơn, Phù Cát, Phù Mỹ, Chư Sê, Đức Cơ, An Lão and Vân Canh to Vĩnh Thạnh, files with this same provincial point of contact. There is no longer a district level in between.

Which company form should you choose?

A công ty TNHH (a limited liability company) with one member or with two or more: suits small and medium businesses, with the owner's liability limited to the capital contributed.

A công ty cổ phần (a joint stock company): suits you if you intend to raise capital from several shareholders or to scale up later.

A doanh nghiệp tư nhân (a sole proprietorship): the owner manages it personally and is liable with all of their personal assets, which are not separated from the business's.

A hộ kinh doanh (a household business): the simplest model, suited to small-scale trading, with lighter formalities than forming a company.

What are the rules on naming the company?

The enterprise name must not duplicate or be confusingly similar to the name of an enterprise already registered anywhere in the country. It must not use wording or symbols contrary to public decency.

You may have a foreign-language name, but a Vietnamese name is compulsory alongside it. Before filing, search the intended name on the national business registration portal so that it is not refused.

How do you register business lines?

The enterprise must register its business lines using the level-four codes of the Hệ thống ngành kinh tế Việt Nam (the Vietnamese standard industrial classification), set out in Quyết định 36/2025/QĐ-TTg (Decision 36/2025).

Some conditional lines need a giấy phép con (a sector sub-licence) before you may operate, for example real estate trading, security services and pharmaceuticals. Settle the lines you intend to trade in beforehand and make sure you meet the conditions, so that the file is not returned and so that you are not left unable to invoice for a conditional line you are not yet licensed for.

Cost and timing of company formation in Gia Lai

What to do once you have the licence

After receiving the enterprise registration certificate you need to have the company seal made, open a bank account, register a chữ ký số (digital signature token), issue hóa đơn điện tử (e-invoices) and make the initial tax declaration with the tax office that manages you directly.

You should also prepare your brand identity, your product and your market before trading begins, so that the start-up phase runs smoothly from the outset.
