Opening a staffing company in Gia Lai: conditions and steps

Opening a staffing company in Gia Lai means registering the business lines with Sở Tài chính tỉnh Gia Lai. There is no minimum capital, and a separate work permit is needed for each foreign employee.
What conditions must a staffing company meet?
Vietnamese law sets no minimum vốn điều lệ (charter capital) for the staffing sector. The enterprise declares a level of charter capital appropriate to its scale and is responsible for its own financial capacity.
You may choose a công ty TNHH (a limited liability company), a công ty cổ phần (a joint stock company) or a doanh nghiệp tư nhân (a sole proprietorship). In practice the limited liability company and the joint stock company are the two most common forms for staffing services, because they make it easier to bring in capital and to govern the business.
The business lines must be registered under the right codes: recruitment consultancy, workforce training, and labour subleasing where applicable. Business lines are registered at the same time as the company formation file. Labour subleasing (cho thuê lại lao động) is different: the company must lodge a deposit and hold a labour subleasing licence (clause 1 of article 54 of the 2019 Labour Code); the deposit is 2,000,000,000 đồng and the legal representative must have at least three years of professional or management experience in labour subleasing or labour supply within the previous five years (article 21 of Nghị định 145/2020/NĐ-CP, Decree 145/2020).
If the company plans to recruit foreign employees, each foreign employee must hold their own work permit before starting work, unless exempt from it. That is a separate procedure, carried out after the company has its enterprise registration certificate.
Which authority issues the enterprise registration certificate in Gia Lai?
Since 1 July 2025 the former Bình Định and Gia Lai provinces have been merged into a single Gia Lai province, with its administrative centre in Quy Nhơn, under Nghị quyết 202/2025/QH15 (Resolution 202/2025). Sở Kế hoạch và Đầu tư (the former Department of Planning and Investment) no longer receives enterprise registration files.
Company formation files now go to Sở Tài chính tỉnh Gia Lai (the provincial Department of Finance), Phòng Doanh nghiệp và Kinh tế tập thể (its Enterprise and Collective Economy Division), at 181-183 Lê Hồng Phong, Phường Quy Nhơn, telephone 0256.3903666.
An enterprise with its head office in any of the new communes and wards after the merger (110 xã and 25 phường under Nghị quyết 1664/NQ-UBTVQH15) still files centrally with this provincial point of contact. There is no longer a district level in between.
What the formation file for a staffing company contains
The file submitted to the Phòng Doanh nghiệp và Kinh tế tập thể contains: the enterprise registration application on the prescribed form; the Điều lệ công ty (the company charter); the list of members or founding shareholders; the personal legal documents (Căn cước card, CCCD citizen identity card or passport) of the legal representative and of the members or shareholders; no copy is needed where the personal identification number is declared under clause 1 of article 11 of Decree 168/2025. The Law on Enterprises does not require evidence of the premises in the registration file.
The enterprise code on the certificate is also the tax code (clause 1 of article 8 of Decree 168/2025); once the certificate is issued, the company has its seal made, opens a bank account and completes its initial tax formalities.
Do you need work permits for foreign employees?
If the company recruits foreign employees, each of them must hold their own giấy phép lao động (work permit), unless exempt under Điều 7 Nghị định 219/2025/NĐ-CP (article 7 of Decree 219/2025). The employer files ten to sixty days before the start date at the provincial Trung tâm Phục vụ hành chính công (public administrative service centre), and the Ủy ban nhân dân cấp tỉnh (provincial People's Committee) issues the permit within ten working days of a complete file (articles 4 and 22 of the same decree).
The work permit is a procedure separate from registering the business lines. It is carried out after the company has its enterprise registration certificate and before the foreign employee starts work.
The process
- Prepare and file the enterprise registration Prepare the registration application, the company charter, the list of members or shareholders, and the personal legal documents. File with Sở Tài chính tỉnh Gia Lai, Phòng Doanh nghiệp và Kinh tế tập thể.
- Have the company seal made Once the enterprise registration certificate is issued, have the seal made and manage the specimen yourself under the rules currently in force.
- Open a bank account Open a company bank account.
- Register for tax Complete the initial tax registration and declare the tax calculation method with the tax office managing you directly.
- Apply for work permits for foreign employees, if any Prepare the file and apply for a work permit for each foreign employee before they start work.
