What if the capital is contributed after ninety days?
This is the most common and most expensive mistake first-time investors make. The Luật Doanh nghiệp (Law on Enterprises) allows no extension of the ninety days: if the capital is not fully paid, the company must register a charter capital equal to what was actually paid within thirty days of the last day allowed (articles 47 and 75 of the 2020 Law on Enterprises).
